Los Angeles, California, October 28, 2024 – GreenPower Motor Company Inc. (NASDAQ: GP) (TSXV: GPV) (“GreenPower”, or the “Company”), a leading manufacturer and distributor of purpose-built, all-electric, zero-emission medium and heavy-duty vehicles serving the cargo and delivery market, shuttle and transit space and school bus sector, today announced that it intends to offer to sell its common shares (and/or pre-funded warrants (“Pre-Funded Warrants”) in lieu thereof) in an underwritten public offering. All of the common shares (and/or Pre-Funded Warrants) are to be sold by the Company.
ThinkEquity is acting as sole book-running manager for the offering.
The Company expects to grant the underwriter a 45-day option to purchase up to an additional 15% of the number of common shares (and/or Pre-Funded Warrants) sold in this offering to cover over-allotments, if any. The offering is subject to market conditions and there can be no assurance as to whether or when the offering may be completed, or as to the actual size or terms of the offering.
The Company intends to use the net proceeds from the offering primarily for the production of all-electric vehicles, including BEAST school buses and EV Star commercial vehicles, as well as for product development, with the remainder, if any, for general corporate purposes.
The securities will be offered and sold pursuant to a shelf registration statement on Form F-3 (File No. 333- 276209), including a base prospectus, filed with the U.S. Securities and Exchange Commission (the “SEC”) on December 21, 2023 and declared effective on February 2, 2024.
