Mr. Clay is currently retired. He was a Partner with KPMG LLP from September 1965 to September 2002.

He was a director of Versatile Systems Inc. from June 2003 to January 2014. Versatile Systems Inc. is a company engaged in software development and sales of computer software, hardware and system integration services related to wired and wireless mobile business solutions and is listed on the TSX.

He has been a Director of Minco Gold Corporation since November 2007. Minco Gold Corporation is engaged in the acquisition, exploration and development of precious and base metal mineral projects in the People’s Republic of China and is listed on the TSX and the American Stock Exchange. He has also been a Director of Powertech Uranium Corp. since November 2007. Powertech Uranium Corp. is a Denver-based mineral exploration and development company that holds the Dewey-Burdock Uranium Deposit in South Dakota and the Centennial Project in Colorado and is listed on the TSX from November 2007. Mr. Clay has been a Director of Hanwei Energy Services Corp. since August 2010. Hanwei Energy Services Corp., through its subsidiaries, manufactures and sells high-pressure fiberglass reinforced pipes for oil, gas and water transmission and salt mining, wind power equipment including turbines, FRP blades and towers, and FRP products and is listed on the TSX. Mr. Clay has also been a Director of Wolverine Minerals Corp. since February 6, 2012.

Wolverine Minerals Corp. is a company engaged in the acquisition, exploration, and if warranted, development of mineral resource properties and is listed on the Exchange. He was a director of Abode Mortgage Holdings Corp., a mortgage and broker loan company listed on the Exchange from February 2003 to February 2010. Mr. Clay was a Director of Zongshen PEM Power Systems Inc. from June 2004 to December 21, 2012. Zongshen PEM Power Systems Inc. is a company that manufactures alternate power systems and is listed on the TSX.

Mr. Clay received his B.A. from the University of British Columbia on September 1, 1965 and his C.A. from the Institute of Chartered Accountants of British Columbia on December 16, 1969.
